4.Warranty:PartyAwarrantsthattheGoods/Services/IPprovidedtoPartyBshallbefreefromanydefectsinmaterialsandworkmanship,andshallconformtothespecificationssetforthinExhibitA.Thewarrantyperiodshallbe[insertduration]fromthedateofdelivery.

5.IntellectualProperty:PartyAherebygrantstoPartyBanon-exclusive,non-transferable,andrevocablelicensetousetheIPprovidedbyPartyAforthepurposeof[insertpurpose]only.PartyBshallnotmodify,adapt,orcreatederivativeworksoftheIPwithoutthepriorwrittenconsentofPartyA.

6.Confidentiality:ThepartiesagreetomaintaintheconfidentialityofanyandallconfidentialinformationdisclosedbyeitherpartytotheotherduringthetermofthisContract.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

7.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[insertjurisdiction].

8.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

9.Amendments:AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandexecutedbybothparties.

10.Waiver:ThefailureofeitherpartytoenforceanyprovisionofthisContractshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchpartythereaftertoenforcesuchprovision.

11.Termination:ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[insertduration]afterreceiptofwrittennotice.

15.PartyC'sResponsibilitiesandRights:

a.Supervisoryauthority:PartyCshallexerciseitssupervisoryauthoritytoensurethequalityandcomplianceoftheGoods/Services/IPprovidedbyPartyA.

b.Righttoinformation:PartyCshallhaveaccesstoallrelevantinformationnecessaryfortheperformanceofitssupervisoryduties.

c.Righttoreceivefees:PartyCshallbeentitledtoreceivereasonablefeesforitsservicesassetforthinExhibitDattachedhereto.

16.TerminationforCause:IntheeventofanymaterialbreachofthisContractbyPartyB,PartyC,orPartyA,thenon-breachingpartyshallhavetherighttoterminatethisContractimmediately.
