SBLCTRANSATIONPROCEDURE交易手續：LesseesignsandsubmitstheAgreement(DOA)withfullbankingdetailsalongwithCIS,CertificateofIncorporation,BoardResolution,SignatorypassportcopyandIFPAtoProvider.ProviderCIS〔客戶信息表〕、公司營業執照、董事會決議和簽名護照復印件。ProvidercountersignstheAgreementandreturnsittotheLesseealongwithProvider’sfullbankinginformation,CertificateofIncorporation,Signatorypassportcopy,whichmakestheAgreementbecomeafullcommercialrecourseandlegalcontractbindingonthepartiesandbothpartieslodgethecontractwithrespectivebank，具有完整的商業追索合約。同時該協議會轉給銀行作為存底。Within3bankingdaysuponreceiptofthecountersignedDOA,theLesseeshallinstructhisbanktoissuesaICBPO〔AnnexB〕byMT799totheProvider’sdesignatedbankaccountforleasingfeeof8%offacevalueofbankinstrumentofFirsttrancheMT799格ICBPO〔B〕，8%的首筆配款租金。Within3bankingdaysafterreceiptandverificationoftheICBPO,ProviderwillinstructhisissuingbanktoissueanddelivertheBankInstrument(AnnexA)bySWIFTMT760infavoroftheLesseeorhisdesignatedpartytoLessee’sreceivingbankforverificationandAuthentication.Provider應指示其開證行開出并郵SWIFTMT760備用信用證給租方接證行，供驗證并確認。Within5bankingdaysuponreceipt,verification&authenticationandvalidationofMT760BankInstrumentonbanktobankbasis,Lesseebankwilleffectfullpayment8%leasingfeetoProvider’sdesignatedbankaccountbySwiftwireasperICBPOandpays2%commissionintorespectivepaymasterasperFPA.在收到了MT760的5個銀行工作日后依據有關協議付款。Within7bankingdaysafterreceiptofpaymentoftheleasingfeesandcommission,theProviderbankwilldeliverthehardcopyoftheBankinstrumenttotheLessee”sbankbybankbondedcourier.SBLC正本送到接證方銀行。ShouldLesseefailstopaythe8%leasingfeesand2%commissionwithinallowedtimestipulatedintheAgreementafterconfirmationofSBLCMT760inLessee’sbankaccount,ProviderwillinstructtheissuingbanktoputaclaimontheBankInstrumenttherebyforcingtheLessee”sbanktoreturntheBankInstrumentMT760totheissuingBank.TRANSACTIONCODE:LESSEE’SCODE :假設有關費用，開證方會授權起銀行將該SBLC撤銷。UnauthorisedBankCommmu你才同：Neitherpartyisallowedtoprobeorcontactthebankoftheotherpartywithoutauthorizationwrittenoftheparty.Anyunauthorizedcontactactisbreachofthecontract.AndtheDeedofagreementisconsideredVoidandNull.下聯系，將視為違法，此協議將被終止。NON-SOLICITATION制止招攬TheLesseeherebyconfirmsanddeclaresthattheProvider,itsassociatesorrepresentativesoranypersonorpersonsonitsbehalfhas/havenevereversolicitedtheLessee,itsshareholdersorassociatesorrepresentativesinanywaywhatsoeverthatcanbeconstruedasasolicitationforthistransactionorforfuturetransactions.租證方茲聲明PENALTY違約責任Anydelayinorfailureofperformancebyeitherpartyoftheirrespectiveobligationsunderthisagreementtheyshallpay5%ofthetransactedfacevalueofthesaidtrancheaspenalty.Anydelayinorfailureofperformancebyeitherpartyoftheirrespectiveobligationsunderthisagreementshallnotconstituteabreachhereunderorgiverisetoanyclaimsfordamagesif,andtotheextentthatsuchdelaysorfailuresinperformancearecausedbyeventsorcircumstancebeyondthecontrolofsuchparty.Theterm“BeyondtheControlofSuchParty“IncludeLawfulorderofGovernmentorAuthority,ActofWar,RebellionorSabotage,Fire,Flood,Earthquakeorothernaturaldisasters.Anyothercausenotwithinthecontrolofsuchpartyorwhichisbyexerciseofreasonablediligence,thepartywillbeunabletoforeseeorpreventorremedy.5%作為違約金。ARBITRATION
