Preamble

ChapterIGeneralProvisions

Article2:BusinessScope

Article3:RegisteredCapital

3.2Theregisteredcapitalshallbecontributedbytheshareholdersintheformof[cash,in-kind,intellectualpropertyrights,etc.]asagreedbytheshareholders.TheshareholdersshallfullycontributetheirsubscribedcapitalinaccordancewiththetimelimitandmethodstipulatedintheseArticlesandtherelevantlawsandregulations.

Article4:LegalRepresentative

4.2ThelegalrepresentativeshallbeelectedorappointedinaccordancewiththeproceduresstipulatedintheseArticlesandshallperformhisdutiesinaccordancewiththelaw.

ChapterIIShareholders

Article5:ShareholdersandTheirCapitalContributions

(1)[Name/TitleofShareholder1],with[IDTypeandNumber/BusinessLicenseNumber],domiciledat[Address],contributingRMB[Amount]in[FormofContribution],accountingfor[Percentage]%oftheregisteredcapital.

(2)[Name/TitleofShareholder2],with[IDTypeandNumber/BusinessLicenseNumber],domiciledat[Address],contributingRMB[Amount]in[FormofContribution],accountingfor[Percentage]%oftheregisteredcapital.

Article6:RightsofShareholders

ShareholdersshallenjoythefollowingrightsinaccordancewiththelawandtheseArticles:

(1)Therighttoreceivedividendsinproportiontotheircapitalcontributions;

(2)Therighttovoteatshareholders'meetings;

(3)Therighttoproposeorvoteontheelectionanddismissalofdirectorsandsupervisors;

(5)Therighttotransferallorpartoftheircapitalcontributionsinaccordancewiththelaw;

(8)Otherrightsstipulatedbylaws,administrativeregulations,andtheseArticles.

Article7:ObligationsofShareholders

ShareholdersshallperformthefollowingobligationsinaccordancewiththelawandtheseArticles:

(1)Tomakecapitalcontributionsinfullandontimeassubscribed;

(5)Otherobligationsstipulatedbylaws,administrativeregulations,andtheseArticles.

Article8:TransferofCapitalContributions

8.1Whenashareholdertransfersallorpartofhiscapitalcontributiontoanothershareholder,heshallnotifyothershareholdersinwriting.

Article9:FunctionsandPowersoftheShareholders'Meeting

(2)Toelectandreplacedirectorsandsupervisorswhoarenotemployees,andtodecideonmattersrelatingtotheremunerationofdirectorsandsupervisors;

(3)Toexamineandapprovethereportsoftheboardofdirectors;

(4)Toexamineandapprovethereportsofthesupervisoryboardorsupervisors;

(8)Tomakeresolutionsontheissuanceofcorporatebonds;

(10)Toamendthearticlesofassociation;

(11)Otherfunctionsandpowersstipulatedbylaws,administrativeregulations,andtheseArticles.

Article10:ConveningandPresidingoftheShareholders'Meeting

Article11:NoticeofShareholders'Meeting

11.1Aregularshareholders'meetingshallbeheldatleastonceayear.

11.2Anextraordinaryshareholders'meetingmaybeconvenedwhenoneofthefollowingcircumstancesoccurs:

(3)Whenshareholdersrepresentingmorethantenpercentofthevotingrightspropose;

(4)Whentheboardofdirectorsdeemsitnecessary;

(5)Whenthesupervisoryboard(orsupervisor)proposes;

(6)OthercircumstancesstipulatedbytheseArticles.

11.3Theconvenoroftheshareholders'meetingshallgivenoticetoallshareholders[Number]daysbeforethemeetingisheld,informingthemofthetime,place,andagendaofthemeeting.

Article12:VotingatShareholders'Meeting

12.1Shareholdersshallexercisetheirvotingrightsattheshareholders'meetinginproportiontotheircapitalcontributions,unlessotherwisestipulatedbylaws,administrativeregulations,ortheseArticles.

12.2Resolutionsoftheshareholders'meetingshallbeadoptedbyshareholdersrepresentingmorethanhalfofthevotingrights,unlessotherwisestipulatedbylaws,administrativeregulations,ortheseArticlesforspecialresolutions.

12.3Forthefollowingmatters,aspecialresolutionadoptedbyshareholdersrepresentingtwo-thirdsormoreofthevotingrightsshallberequired:

(1)Amendmentofthearticlesofassociation;

(2)Increaseordecreaseoftheregisteredcapital;

(4)Othermattersstipulatedbylaws,administrativeregulations,ortheseArticlesthatrequireaspecialresolution.

ChapterIVBoardofDirectors(orExecutiveDirector)

Article14:FunctionsandPowersoftheBoardofDirectors(orExecutiveDirector)

Theboardofdirectors(orexecutivedirector)shallberesponsibletotheshareholders'meetingandexercisethefollowingfunctionsandpowers:

(1)Toconveneshareholders'meetingsandreportworktotheshareholders'meeting;

(2)Toimplementtheresolutionsoftheshareholders'meeting;

(11)Otherfunctionsandpowersstipulatedbylaws,administrativeregulations,andtheseArticles.

Article15:MeetingsoftheBoardofDirectors

15.2Adirectormayproposetoconveneaboardmeeting.Aboardmeetingshallbeheldonlyifmorethanhalfofthedirectorsarepresent.

15.3Resolutionsoftheboardofdirectorsshallbeadoptedbymorethanhalfofthedirectors.Minutesshallbemadefortheboardmeeting,whichshallbesignedbythedirectorspresentatthemeeting.

ChapterVSupervisoryBoard(orSupervisor)

Article17:FunctionsandPowersoftheSupervisoryBoard(orSupervisor)

Thesupervisoryboard(orsupervisor)shallexercisethefollowingfunctionsandpowers:

(2)Tosupervisetheperformanceofdutiesbydirectorsandseniormanagementpersonnel,andtoproposetheremovalofdirectorsorseniormanagementpersonnelwhoviolatelaws,administrativeregulations,thearticlesofassociation,ortheresolutionsoftheshareholders'meeting;

(4)Toproposetoconveneanextraordinaryshareholders'meeting,andtoconveneandpresideoverashareholders'meetingwhentheboardofdirectorsdoesnotperformthedutyofconveningtheshareholders'meetingasstipulatedbylaw;

(5)Toputforwardproposalsatshareholders'meetings;

(7)Otherfunctionsandpowersstipulatedbylaws,administrativeregulations,andtheseArticles.

Article18:AppointmentandFunctionsoftheManager

18.2Themanagershallberesponsibletotheboardofdirectors(orexecutivedirector)andshallexercisethefollowing
