貨物貿(mào)易全英文合同范本CONTRACTFORGOODSTRADEPARTIESBuyer:[Fullnameofthebuyer],a[Typeofbusinessentity,e.g.,corporation]organizedandexistingunderthelawsof[Country],withitsprincipalplaceofbusinessat[Address].Seller:[Fullnameoftheseller],a[Typeofbusinessentity,e.g.,limitedliabilitycompany]organizedandexistingunderthelawsof[Country],withitsprincipalplaceofbusinessat[Address].RECITALSTheBuyerdesirestopurchasecertaingoodsfromtheSeller,andtheSellerdesirestosellsuchgoodstotheBuyer,subjecttothetermsandconditionssetforthinthisContract.ARTICLE1:DESCRIPTIONOFGOODS1.GeneralDescriptionTheSellershallsellandtheBuyershallbuythefollowinggoods(the"Goods"):[Provideadetaileddescriptionofthegoods,includingbutnotlimitedtothename,model,specification,quantity,qualitystandards,etc.Forexample:"100unitsofModelXYZlaptops,withIntelCorei7processors,16GBRAM,512GBSSD,runningWindows10operatingsystem,inaccordancewiththetechnicalspecificationsattachedheretoasExhibitA."]2.QualityStandardsTheGoodsshallmeetthefollowingqualitystandards:[Specifythequalityrequirements,whichmayrefertonationalorinternationalstandards,industrystandards,orspecificrequirementsagreeduponbytheparties.Forexample:"TheGoodsshallcomplywiththeISO9001qualitymanagementsystemandtherelevantsafetystandardsof[Country]."]ARTICLE2:PRICEANDPAYMENT1.PriceThetotalpricefortheGoodsshallbe[Amountinfiguresandwords](the"Price"),whichincludesallcostsrelatedtotheproduction,packaging,transportationtothedeliveryplace,insurance,andtaxes(exceptforanytaxesspecificallybornebytheBuyerasprovidedinthisContract).2.PaymentTermsTheBuyershallmakethepaymentinthefollowingmanner:[Describethepaymentmethod,suchasbanktransfer,letterofcredit,etc.,andthespecificpaymentschedule.Forexample:"TheBuyershallpay30%ofthePriceasadownpaymentwithin10daysafterthesigningofthisContract.Theremaining70%ofthePriceshallbepaidwithin30daysaftertheBuyer'sinspectionandacceptanceoftheGoods."]ARTICLE3:DELIVERY1.DeliveryPlaceTheSellershalldelivertheGoodstothefollowingplace:[Address].2.DeliveryTimeTheSellershalldelivertheGoodsonorbefore[Date].3.ShippingandInsuranceTheSellershallberesponsibleforarrangingtheshippingoftheGoodstothedeliveryplaceandobtainingthenecessaryinsurancefortheGoodsduringthetransportation.Theinsuranceamountshallbe[Amount]andshallcoverallrisksduringthetransit.ARTICLE4:INSPECTIONANDACCEPTANCE1.InspectionRightUponthearrivaloftheGoodsatthedeliveryplace,theBuyershallhavetherighttoinspecttheGoodswithin[Numberofdays]days.2.InspectionStandardsTheinspectionshallbecarriedoutinaccordancewiththequalitystandardsspecifiedinArticle1ofthisContract.3.AcceptanceorRejectionIftheGoodsmeetthequalitystandardsandotherrequirementsofthisContract,theBuyershallissueanacceptancecertificate.IftheGoodsdonotmeettherequirements,theBuyershallnotifytheSellerinwritingwithintheinspectionperiod,statingthenonconformitiesindetail.TheSellershall,within[Numberofdays]daysafterreceivingthenotice,takeappropriatemeasurestoremedythenonconformities,suchasreplacement,repair,orreductionoftheprice.ARTICLE5:WARRANTIES1.Seller'sWarrantiesTheSellerwarrantsthat:TheGoodsarenew,ofgoodquality,andfreefromanydefectsindesign,material,andworkmanship.TheSellerhasthelegalrighttoselltheGoodsandthattheGoodsarenotsubjecttoanyliens,encumbrances,orthirdpartyclaims.TheGoodsshallbeinfullcompliancewithallapplicablelaws,regulations,andstandardsintheBuyer'scountry.2.DurationofWarrantyTheSeller'swarrantyshallbevalidfor[Numberofmonths/years]fromthedateoftheBuyer'sacceptanceoftheGoods.ARTICLE6:RIGHTSANDOBLIGATIONSOFTHEPARTIES1.Buyer'sRightsandObligationsRights:TheBuyerhastherighttoinspecttheGoods,requiretheSellertoremedyanynonconformities,andclaimcompensationforanylossescausedbytheSeller'sbreachofthisContract.Obligations:TheBuyershallpaythePriceinaccordancewiththepaymenttermsofthisContract,accepttheGoodsinatimelymanneriftheymeettherequirements,andcooperatewiththeSellerintheperformanceofthisContract.2.Seller'sRightsandObligationsRights:TheSellerhastherighttoreceivethePricefromtheBuyerinaccordancewiththepaymentterms,andtobenotifiedbytheBuyerofanynonconformitiesinatimelyanddetailedmanner.Obligations:TheSellershalldelivertheGoodsinaccordancewiththedeliveryterms,providethenecessarydocumentationrelatedtotheGoods,andremedyanynonconformitieswithintheagreedtime.ARTICLE7:LIABILITYFORBREACHOFCONTRACT1.Buyer'sBreachIftheBuyerfailstopaythePriceinaccordancewiththepaymentterms,theBuyershallpaytheSelleralatepaymentinterestattherateof[Rate]perannumontheoverdueamountfromtheduedateuntiltheactualpaymentdate.Inaddition,theSellermaysuspendthedeliveryoftheGoodsorterminatethisContractiftheBuyer'sbreachismaterial.2.Seller'sBreachIftheSellerfailstodelivertheGoodsontimeortheGoodsdonotmeetthequalitystandards,theSellershallbeliableforthefollowing:Ifthedelayindeliveryislessthan[Numberofdays],theSellershallpaytheBuyeraliquidateddamagesof[Amount]foreachdayofdelay.IftheGoodsdonotmeetthequalitystandards,theSellershallberesponsibleforreplacing,repairing,orreducingthepriceoftheGoodsasrequiredbytheBuyer.Inaddition,theSellershallcompensatetheBuyerforanydirectlossescausedbythenonconformingGoods.ARTICLE8:FORCEMAJEURE1.DefinitionForcemajeuremeansanyeventbeyondthereasonablecontrolofaparty,suchasnaturaldisasters,wars,riots,strikes,governmentregulations,etc.,whichpreventsthepartyfromperformingitsobligationsunderthisContract.2.NotificationandMitigationIncaseofforcemajeure,theaffectedpartyshallnotifytheotherpartyinwritingwithin[Numberofdays]daysaftertheoccurrenceoftheforcemajeureevent,statingthenatureandexpecteddurationoftheevent.Theaffectedpartyshallalsotakeallreasonablemeasurestomitigatetheeffectsoftheforcemajeureevent.3.ConsequencesIftheforcemajeureeventlastsformorethan[Numberofdays],thepartiesshalldiscussandagreeonareasonableadjustmenttotheperformanceofthisContract,suchasanextensionofthedeliverytimeorareductionofthequantityoftheGoods.Ifthepartiescannotreachanagreement,eitherpartymayterminatethisContract.ARTICLE9:CONFIDENTIALITY1.ConfidentialInformationEachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyduringtheperformanceofthisContract,includingbutnotlimitedtothebusinesssecrets,technicalinformation,andcustomerinformationoftheotherparty.2.NonDisclosureNeitherpartyshalldisclosetheconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.ARTICLE10:DISPUTERESOLUTION1.NegotiationIncaseofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.2.ArbitrationIfthenegotiationfails,thedisputeshallbesubmittedto[Arbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.ARTICLE11:GOVERNINGLAWThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].ARTICLE12:MISCELLANEOUS1.EntireAgreementThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.2.AmendmentandWaiverNoa
