合資經營企業協議新(第一篇)此文檔協議是通用版本，可以直接使用，符號*表示空白。本協議于****年****月****日簽訂。簽約第一方：****公司，該公司系中國公司，在中國****注冊（以下簡稱“甲方”）；簽約其次方：****公司，系美國公司，在美國****注冊（以下簡稱“乙方”）。thisagreementmadethis****dayof****，****by****corporation(hereinaftercalled“partya”)，achinesecorporationhavingitsregisteredofficeat****，china，and****company(hereinaftercalled“partyb”)，anamericancompanyhavingitsregisteredofficeat****，usa。茲證明witnesses甲方在中國生產和銷售****產品；乙方生產和銷售****產品（以下稱“許可產品”），擁有許可產品的專利（以下稱“專利”）和****號注冊商標；whereaspartyaisengagedinmanufacturingandselling****inchina；andwhereaspartybisengagedinmanufacturingandselling(hereinaftercalled“licensedproduct”)andhasamericanpatentrightstolicensedproduct(hereinaftercalled“patents”)andregisteredtrademarkno.**(hereinaftercalled“trademark”)；and甲乙雙方認為根據XX的法律成立共同全部的公司（以下稱“合營公司”），在****地從事生產、銷售和開發許可產品，對雙方都是有利的；whereasthepartiesconsideritmutuallyadvantageoustoorganizeajointlyownedcorporation(hereinaftercalled“jointventure”)underthelawsofthepeople’srepublicofchinatoengageinthemanufacture，saleanddevelopmentoflicensedproductin***。為此，鑒于本協議所述的前提與商定，特此立約如下：******nowtherefore，inconsiderationofthepremisesandconvenancedescribedhereinafterpartyndpartybagreeasfollows：第一條定義article1definitions在本協議中，除非文中另有明確規定，下列短語具有以下意思：******inthisagreement，thefollowingtermshavethefollowingmeaningsunlessthecontextclearlydictatesotherwise。1．“合營企業”，系指依據本協議建立的公司。1.“jointventure”meansthecorporationtobeorganizedpursuanttotheprovisionsofarticle2hereto。2．“許可產品”，系指****。2.“licensedproduct”means****。3．“專利”，系指****。3.“patents”means****。4．“商標”，系指****。4.“trademark”means****。5．****。5.****。其次條建立合營企業article2formationofjointventure1．甲方和乙方根據XX的法律建立合營企業。1.partyndpartybshallsparenoeffortsfortheorganizationofjointventureunderthelawsofthepeople’srepublicofchina。2．合營企業稱為****，地址為****。2.thenameofjointventureis****withitslegaladdress:****。3．合營企業的一切活動，必需遵守XX的法律、法令和有關條例規定。3.allactivitiesofjointventureshallcomplywiththeprovisionsofthelaws，decreesandpertinentregulationsofthepeople’srepublicofchina。4．合營企業的組織形式為有限責任公司。甲乙雙方以各自認繳的出資額對合營公司的債務擔當責任。各方按其出資額在注冊資本中的比例共享利潤和分擔風險及虧損。4.jointventureshalltaketheformofalimitedliabilitycompany.theprofits，risksandlossesofjointventureshallbesharedbybothpartyndpartybinproportiontothecontributionstotheregisteredcapital。5．合營企業的組建費用由甲乙雙方平均分擔。5.theexpensesoforganizingjointventureshallbeequallybornebypartyndpartyb。第三條生產經營的目的、范圍和規模article3purpose，scopeandsizeofbusiness1．甲、乙雙方合資經營的目的是：本著加強經濟合作和擴大技術溝通的愿望，采納先進而適用的技術和科學的經營管理方法，提高產品質量，開發新產品，并在質量、價格等方面具有國際市場上的競爭力量，提高經濟效益，使投資各方獲得滿足的經濟利益。1.inlinewiththespiritofstrengtheningeconomiccooperationandexpandingtechnicalexchange，jointventureistousestate-of-the-artandappropriatetechnologyandequipment，withefficientmanagementsystems，toproducelicensedproductwhichshallbeoftopqualityandcompetitiveintheworldmarkets，soastoachievesatisfactoryeconomicreturns。2．合營企業生產****（許可產品），生產力量為每年****。合營企業將努力改進許可產品，改善管理，以適應國際競爭。2.jointventureistoproduct****(licensedproduct)withaproductioncapacityof****peryear.jointventureshalldoitsbesttoimprovelicensedproductandmanagementsoastobeabletomeetcompetitionworldwide。3．合營企業盡可能開發許可產品的新品種，以滿意國內外市場的進展需要。3.jointventureshall，ifpossible，developnewvarietiesoflicensedproductinordertokeepupwithmarketdevelopmentsbothinthehostcountryandintheworld。第四條資本結構article4capitalstructure1．合營企業的注冊資本為****，其中甲、乙雙方各出資****，即各占50％。1.theregisteredcapitalofjointventureshallbe****(amountofcapital)，ofwhichhalf(50%)willbecontributedbyeachparty。2．甲方出資2.partya’scontributionsinclude（1）廠房：****；(1)buildingsandpremises:****(value)；（2）國產設備：****；(2)domestically-madeequipment:****(value)；（3）現金：****；(3)cash:****；（4）合資企業廠地：****；(4)thesiteofjointventure:****(value)。3．乙方出資3.partyb’scontributionsinclude（1）現金：****；(1)cash:****；（2）先進設備：****；(2)sophisticatedequipment:****(value)；（3）工業產權：****。(3)industrialproperty****(value)。（4）乙方向甲方供應工業產權的技術資料包括影印本的專利證書和注冊商標證書、有效期說明、技術特點、實際價值、價格計算依據等。(4)partybshallpresenttopartyatherelevantdocumentationontheindustrialpropertyincludingphotocopiesofthepatentcertificatesandtrademarkregistrationcertificates，statementsofvalidity，theirtechnicalcharacteristics，practicalvalue，thebasisforcalculatingtheprice，etc。4．合營企業各方必需在****年****月****日前交付其出資。遲交必需交納利息或賠償因此而造成的損失。4.eachpartytojointventureshallpayinitscontributionsbefore****(timelimit).anydelayinpaymentwillbesubjecttoapaymentofinterestoracompensationforthelossoccurredtherein。5．甲乙雙方中任何一方轉讓其出資額，須經另一方同意和其政府批準，該方享有優先購買權。5.thetransferofoneparty’sshareintheregisteredcapitalshallbeeffectedwiththepriorconsentoftheotherpartyandapprovalofitsgovernmentandthelattershallenjoyprioritytopurchaseit。第五條專利許可article5patentlicensingarrangement1．乙方同意向合營企業轉讓下列獨家許可：1.partybagreestograntjointventurethefollowingexclusivelicences：（1）專利獨占許可——依據本協議的專利許可協議，用乙方專利生產、使用和銷售許可產品。(1)anexclusivelicensetomanufacture，useandselllicensedproductunderpartyb’spatentsaccordingtothetermsandconditionsofthepatentlicenseagreementattachedhereto。（2）商標獨占許可——依據本協議的專利許可協議，用乙方商標銷售許可產品。(2)anexclusivelicensetousetrademarkinmarketinglicensedproductaccordingtothetermsandconditionsofthetrademarklicenseagreementattachedhereto。（3）專有技術獨占許可——依據本協議的技術救濟協議，用乙方專有技術生產和銷售專利產品。(3)anexclusivelicensetopractisepartyb’sknow-howformanufacturingandmarketinglicensedproductaccordingtothetermsandconditionsofthetechnicalasistanceagreementattachedhereto。2．甲乙雙方同意，在執行本協議的同時，將全面貫徹執行上述三個協議：專利許可協議、商標許可協議和技術救濟協議。2.partyndpartybagreethatsimultaneouslywiththeexecutionofthisagreement，theyshallcarryout，theabovethreeagreements--thepatentlicenseagreement，thetrademarklicenseagreementandthetechnicalassistanceagreement。第六條產品銷售article6marketingarrangements1．甲乙雙方共同負責銷售許可產品。1.partyndpartybshallberesponsibleforthesalesoflicensedproduct。2．通過乙方世界銷售系統銷售的產品初期銷售量為總產量的****％。同時，甲方將幫助合營企業通過中國的外貿公司出口許可產品。2.theinitialamountoflicensedproducttobesoldontheforeignmarketsis****%ofthetotalproductionthroughpartyb’smarketingsystemworldwide.meanwhilepartyashallhelpjointventuretoexportlicensedproductthroughchina’stradeestablishments。3．許可產品也可以在中國市場出售。3.licensedproductmayalsobedistributedonthechinesemarket。4．中營企業所需購買的原材料、半成品、燃料和配套件等，在條件相同的狀況下，應首先在中國購買。當然，也可使用自己的外匯直接從世界市場購進。4.inpurchaseoftherequiredrawmaterialsandsemiprocessedproducts，fuels，auxiliaryequipmentetc.，jointventureshallgivefirstprioritytochinesesourceswhereconditionsarethesame，butmayalsoacquirethemdirectlyfromtheworldmarketwithitsownforeignexchangefunds。第七條董事會article7boardofdirectors1．董事會是合營企業的最高領導機構，負責合營企業的主要事宜。1.theboardofdirectorsisthetopleadershipofjointventure.itisresponsibleforallmajorissuesconcerningjointventure。2．董事會由****名董事組成，其中****名（包括董事長）由甲方指定；****名（包括副董事長）由乙方指定。董事的任期為****年，若雙方同意，任期可以延長。2.theboardofdirectorsconsistsof****(number)directors，ofwhom****(number)includingthechairmanshallbeappointedbypartya，and****(number)includingthedeputychairmanshallbeappointedbypartyb.theofficetermforthedirectorsis4years，whichmayberenewedwiththeconsentofthepartiestojointventure。3．董事會每年召開一次，原則上在合營企業的法定地址進行。出席會議的法定人數不得少于董事人數的2／3。若董事不能出席會議，應授權代表出席會議，代表他投票。若在任期內，因死亡、退休或因其他緣由，董事在任期屆滿前不能履行職責者，雙方同意充分合作，并由因其指定的董事死亡、退休或其他緣由造成空位的一方賜予更換。3.boardmeetingsshallgenerallybeheldatthelocationofjointventure’slegaladdress，onceeachyear.aquorumforameetingshallconsistofnotfewerthantwothirds(2/3)ofthedirectors.shouldanydirectorbeunabletoattendthemeeting，heshallauthorizearepresentativetobepresentatthemeetingandvoteforhim.incaseadirectordies，resigns，orisotherwiseunabletofulfilhisdutiespriortothefulfilmentofhisterm，thepartiesagreetocooperatefullytohaveashisreplacementadirectornominatedbythepartythatnominatedthedirectorwhosedeath，resignationorotherconditionscreatedthevacancy。4．對于下列問題，必需經出席會議的董事全都通過，方可作出打算：4.decisionsonthefollowingitemsshallbemadeonlywhenunanimouslyagreeduponbythedirectorspresentattheboardmeeting。（1）修改合營企業章程；(1)amendmenttothearticlesofincorporationofjointventure；（2）終止和解散合營企業；(2)terminationanddissolutionofjointventure；（3）增加或轉讓合營企業的注冊資本；(3)increaseorassignmnetoftheregisteredcapitalofjointventure；（4）合營企業同其他經濟組織合并。(4)mergerofjointventurewithanothereconomicorganization。其他問題的打算，以出席會議董事人數的微弱多數票作出。decisionsonotheritemsshallbemadebyasimplemajorityvoteofthedirectorspresentatthemeeting。第八條管理article8management1．合營企業設經營管理機構，負責企業的日常經營管理工作。1.jointventureshallestablishamanagementofficewhichshallberesponsiblefordailymanagementofjointventure。2．經營管理機構設經理1人、副經理2人，任期4年?？偨浝碛杉追街付ǎ撠焾绦卸聲臎Q議和日常管理工作。副總經理由雙方各指定1人，幫助總經理工作。2.themanagementofficeshallhaveageneralmanagerandtwodeputygeneralmanagers，whosetermis4years.thegeneralmanagernominatedbypartyaisresponsiblefortheimplementationofthedecisionsoftheboardofdirectorsanddailyoperation.thedeputymanagers，oneofwhomisnominatedbyeachparty，shallassistthegeneralmanagerinhisduties。3．管理機構設若干部門，在總經理和副總經理的領導下，負責企業各部門的工作。3.themanagementofficemayhaveitssubdivisions，thedutiesofwhicharetomanagedifferentbusinessdepartmentsundertheleadershipofthegeneralmanagerordeputygeneralmanagers。第九條勞動管理article9labourmanagement1．合營企業的中方專家、技術人員、工人和其他人員由甲方聘請；合營企業的外方專家由乙方聘請。1.partygreestohelpjointventuretoinviteandrecruitchineseexperts，technicians，workersandotherpersonnelandpartybagreetohelpjointventuretoinviteandrecruitforeignexperts。2．合營企業的專家、職員或工人的雇用、辭退、工資、勞動保險、生活福利和獎懲等項，由董事會根據《XX中外合資經營企業法實施條例》打算。2.theemploymentanddismissal，wages，insurance，welfare，awards，andfinesofitsexperts，staffmembersandworkersshallbedecidedbytheboardofdirectorsaccordingto“regulationsfortheimplementationofthelawofthepeople’srepublicofchinaonchineseforeignjointventure”。第十條財務與會計article10financialaffairsandaccounting1．協議雙方充分熟悉到，為了他們自己和合營企業的最大利益，必需盡一切可能增加生產。因此，雙方同意合營企業應保留足夠的收益，用于擴大生產的其他需要，如獎金和福利基金。合營企業的年留用獎金比率由董事會打算。1.thepartiesheretoarefullyawarethatthebestinterestsoftheirownandjointventurewillbeservedbytakingallreasonablemeasurestoensureincreaseinproductionandinordertoachievethisgoal，thepartiesagreetoretainsufficientearningsinjointventurefortheexpansionofproductionandotherrequirements，suchasbonusandwelfarefunds.theannualproportionoftheearningstoberetainedshallbedecidedbytheboardofdirectors。2．合營企業雇用合格的財務人員和審計員，設立會計帳目，合營各方可隨時查看有關帳目。2.jointventureshallemploycompetenttreasurersandauditorstokeepallbooksofaccounts，whichareaccessibleatanytimetoeachpartyhereto。3．合營企業的財政年度自1月1日至12月31日。合營企業的凈收入，在扣除儲備金、獎金和企業進展獎金以后，依據各方出資在注冊醬中占的比例進行安排。紅利以****（貨幣）支付。3.thefiscalyearofjointventureshallbeginonjanuary1standendondecember31st.thenetprofitofjointventureshallbedistributedbetweenthepartiestojointventureinproportiontotheirrespectivesharesintheregisteredcapitalafterthedeductiontherefromofthereservefunds，thebonusandtheexpansionfundsofjointventure.dividendsshallbepaidin(currency)。第十一條稅費article11tax1．合營企業必需根據XX的法律納稅。1．jointventureshallpaytaxesinaccordancewiththerelevantlawsofthepeople’srepublicofchina。2．合營公司的職員和工人必需根據《XX個人所得稅》納稅。2．thestaffmembersandworkersemployedbyjointventureshallpayindividualincometaxaccordingtotheindividualincometaxlawofthepeople’srepublicofchina。3．合營企業進出口貨物依據XX的法律繳納或減免關稅。3．jointventureshallpayorexemptfromcustomsdutyandindustrialandcommercialconsolidatedtaxongoodsimportedorexportedinaccordancewiththerelevantlawsofthepeople’srepublicofchina。第十二條合營期限article12durationofjointventure1．合營期限為****年。合營企業的成立日期為合營公司營業執照簽發之日。1.thedurationofjointventureis****years，whichbeginsonthedatewhenjointventureisissuedthebusinesslicense。2．若雙方同意延期，合營企業必需在期江前6個月向中國政府的主管部門提出延長期限的申請。2.whenbothpartiestojointventureagreetoextendtheduration，jointventureshallfileanapplicationforextendingthedurationtotherelevantauthorityofthechinesegovernmnent6monthsbeforitsexpirationdate。第十三條解散與清算article13dissolutionandliquidation董事會宣布解散合營企業，必需制定清算程序和原則，并成立清算委會。uponannouncementofthedissolutionofjointventure，itsboardofdirectorsshallworkoutproceduresandprinciplesfortheliquidationandsetupaliquidationcommittee。合營企業解散和清算的一切事宜均按XX法律辦理。allmattersconcerningthedissolutionandliquidationofjointventureshallbedealtwithinaccordancewiththerelevantlawsofthepeople’srepublicofchina。第十四條保險article14insurance合營企業的各項保險均在****投保。insuranceagainstvariousrisksshallbeeffectedbyjointventurewith****。第十五條仲裁article15arbitration有關本協議的一切分歧與爭議，若董事會不能通過協商解決，則提交中國國際貿易促進委員會對外貿易仲裁委員會，依據該會仲裁程序暫行規章進行仲裁。該委員會的裁決是終局的，對雙方均具有約束力。alldisputes，controversiesordifferenceswhichmayarisebetweenthepartieshereto，outoforinrelationtothisagreementandwhichtheboardofdirectorsfailstosettlethroughconsultation，shallfinalybesubmittedtoarbitrationwhichshallbeconductedbytheforeigntradearbitrationcommissionofthechinacouncilforthepromotionofinternationaltradeinaccordancewiththeprovisionalrulesofprocedureofarbitrationofthesaidcommission，thedecisionofwhichshallbefinalandbindinguponbothparties。第十六條協議的修改article16amendment本協議的修改，必需經甲乙雙主同意，簽署書面協議，并報XX主管部門批準。thisagreementmaybeamendedduringthedurationofthisagreementbytheparties，providedthatsuchamendmentshallbeinwritingandsignedbybothpartiesandshallbeapprovedbythecompetentagencyofthegovernmnetofthepeople’srepublicofchina。第十七條不行抗力article17forcemajeure1．本協議任何一方因地震、火災、洪水、爆炸、風暴、事故和戰斗等不行抗力大事，未能履行協議，不構成違約或索賠之緣由。1.anyfailureordelayintheperformancebyeitherpartyheretoofitsobligationsunderthisagreementshallnotconstituteabreachhereoforgiverisetoanyclaimsfordamagesifitiscausedbythefollowingoccurrencesbeyondthecontroloftheparty:earthquake，fire，floods，explosions，storms，accidents，war。2．患病不行抗力大事一方必需馬上電報通知另一方，并在發報后****天內提交當地主管部門出具的證明文件，供雙方據以友好合理地解決有關問題。2.thepartyaffectedbyforcemajeureeventshallimmediatelycabletheotherpartyabouttheevent，andsubmitwithin***daysafterthecablethecertifieddocumentsissuedbyapubliccompetentorganizationattheplacewheretheforcemajeureeventhastakenplace，withwhichthetwopartiesheretoshallsettletheprobleminafriendlyandreasonableway。第十八條通知article18notice一切有關本協議的通知必需采納書面形式，其地址如下：anynoticerequiredorpermittedundertheprovisionsofthisagreementshallbeinwritingandaddressedasfollows：**********公司地址：****to****n:at****。****公司地址：****to****:at****。合營企業地址：****to****:at****。通知日期以通知發出日為準，但轉變地址的通知以通知收到日為準。時間按通知方所在的時區計算。noticeshallbedeemedtohavebeengivenonthedateofmailingexceptthenoticeofchangeofaddresswhichshallbedeemedtohavebeengivenwhenreceived.thetimeshallbecalculatedaccordingtothatofthetimezoneoftheaddresserorsender。第十九條唯一協議article19soleagreement本協議是當事人的唯一協議，并取代當事人雙方以前明確表示和示意方式所達成的一切協議和承諾。thisagreementconsititutestheentireandonlyagreementbetweenthepartiesheretoandsupersedesandnullifiesallprioragreements，commitments，expressedorimplied，betweenthepartieshereto。其次十條適用法律article20governinglaw本協議的形式、有效期、解釋和履行，均以XX法律為準。theformation，validation，interpretationandperformanceofthisagreementaregovernedbythelawsofthepeople’srepublicofchina。其次十一條文字article21language本協議以中、英文書寫，兩種文本對雙方均具有約束力，但在產生分歧時，以中文本為準。thisagreementshallbeexecutedbythepartiesheretoinbothchineseversionandenglishversion，eachofwhichshallbebindinguponbothparties.butthechineseversionshallprevailintheeventofanydiscrepancybetweenthetwosaidversions。茲證明，雙方委派各自代表，在以下開首語中書明的日期簽署蓋章。本協議一式兩份。inwitnesswhereof，thepartiesheretohaveexecutedthisagreementinduplicatebytheirdulyauthorizedrepresentativesasofthedatefirstabovewritten。****公司（簽字）：*********公司（簽字）：********co：****（signature）****co：****（signature）合資經營企業協議新(第二篇)[律師事務所名稱][地址][電話號碼][郵箱]合資經營企業協議[合資經營企業名稱]摘要：本合資經營企業協議（以下簡稱“協議”）旨在明確合資經營企業的組建和運營細則，確保各方的權益和共同利益，維護合資企業的穩定發展。本協議包含了各方的權利和義務，以及企業經營管理、財務管理等重要事項的規定。第一章總則第一條【立項背景】本次合資經營企業的成立是基于各方充分合作和互信的基礎上，為實現共同利益的追求，共同投資興辦并有效運營本合資經營企業而達成的協議。第二條【定義】
